I am confused, why does the company have to warn about the earning that is due on Aug 8. It had already dropped 50% in May when the CEO warned of weaker guidance. Then to my surprise, he talks again about the same subject as he did in May. The point is, traders will react negatively on the earnings date for the same news which announced out today. To me that is a PR Issue more that earning issue. In 2020, the CEO Of $BA announced that he does not see any order for Boeing airplanes in the next 10 years, the stock dropped a lot. The question is why make such a predictions; instead, they should focus on quarterly earnings on the date of earnings. So, unless the CEOs is about to get paid in stocks and it would have less tax implication when the stock is cheaper. The CEO, might deliberately make those negative statement to earn more. Here is how? When a board member get paid in stocks, they have to pay tax depending how the compensation is structured, even though they have not sold the stock yet. And he will have to pay capital gain when he sells the stocks. So, he pays less tax now on the cheap stocks that he has earned as part of his compensation. Later when he sells the stock he will pay capital gain taxes. But if he the stock price is high and he gets stocks as a part of his compensation, he will have to pay more tax. The CEO is liable to pay the tax based on the price of the stock on the day he receives the stocks. Later if he has to sell stocks to pay income tax and if the stock price is down, he cannot claim the loss as a income loss. It will be considered capital loss and that is not favourable for the board. Food for thought.
